Harrisburg, Pa. – The Center for Innovation & Entrepreneurship (CIE) at Harrisburg University of Science and Technology invites you to join attorneys from Troutman Pepper law firm as they provide an overview of the legal issues facing startups and share information that every entrepreneur should know.

The “Let’s Get Legal: Legal Issues for Startups and Early-Stage Companies” event will take place on the 14th floor of Harrisburg University, 326 Market St., Harrisburg, from 8 a.m. to 2 p.m. August 25.

“CIE’s combination of a great STEM university, a pro-risk business culture, deep pools of innovation-seeking partners and reliable business law partners like Troutman Pepper is unprecedented and unparalleled in the region,” said Jay Jayamohan, Executive Director of the CIE.  “If you are the founder of an early-stage business, this is your chance to get incredible legal insights to build a smart business.”

Troutman Pepper routinely advises emerging companies about issues pertaining to entity formation through seed, Series A, and eventual merger, acquisition, or IPO exit.  During the presentation, attendees will gain practical information gleaned from decades of experience in representing hundreds of entrepreneurs.

“Troutman Pepper is excited to partner with CIE and leverage the insight we have gained from decades of experience advising startups to benefit new generations of entrepreneurs,” said Justin G. Weber, Partner, Troutman Pepper.

The presentation will explore issues regarding:

  • Entity Formation
  • Term Sheets and Financing Documents
  • Protecting Intellectual Property (Trademark, Copyright, and Patent).
  • Subscription and Technology Licensing Agreements
  • Non-Disclosure and Employment Agreements
  • Exit Strategies, Including Stock Purchase or Membership Interest Purchase Agreements.

“The goal of the clinic is to help budding entrepreneurs better understand the potential benefits and challenges they may face bringing their product to the public,” said Jacqueline Conforti Barnett, Harrisburg University General Counsel. “Through this program, CIE’s looks to empower these visionaries with a toolkit of basic legal and financial knowledge to ensure that their ingenuity and hard work have the best chance of succeeding in the marketplace of ideas and innovations.”
